Dos plataformas de criptomonedas en la mira de ente fiscalizador por “facilitar ilegalmente” la comercialización de activos
Las entidades acusadas “conscientemente decidieron” las normas “y poner en riesgo a sus clientes e inversores, todo en un intento por maximizar sus propios beneficios”, según la SEC.
La Comisión del Mercado de Valores de Estados Unidos (SEC, en inglés) acaba de dar un golpe en la mesa demandando a dos plataformas de criptomonedas icónicas: Binance, la mayor criptoplataforma del mundo, y Coinbase, la única que cotiza en la Bolsa de Wall Street, en su última ofensiva contra este sector, puesto bajo escrutinio tras el escandaloso hundimiento de FTX el pasado noviembre.
La SEC, que desde hace meses insiste en la necesidad de reforzar la regulación del sector, demandó a Coinbase por operar como una bolsa de valores, corredor de bolsa y cámara de compensación para garantizar los intercambios entre inversores, entidades de crédito y otros agentes financieros, sin estar registrada.
“Desde al menos 2019, Coinbase ha ganado miles de millones de dólares facilitando ilegalmente la compra y venta de valores de criptoactivos”, sostiene la SEC en la nota, en la que insiste en que Coinbase mezcla los servicios tradicionales del mercado de valores con los de un corredor de bolsa sin haber registrado ninguna de esas funciones.
La SEC presentó en total 13 cargos contra Binance y contra su fundador, Changpeng Zhao, a quienes acusa de ignorar de forma descarada las leyes bursátiles estadounidenses y de ganar miles de millones de dólares a cambio de poner en “riesgo significativo” los activos de sus clientes.
“Zhao y las entidades de Binance no solo conocían las normas, sino que conscientemente decidieron evadirlas y poner en riesgo a sus clientes e inversores, todo en un intento por maximizar sus propios beneficios”, señaló en un comunicado el presidente del regulador estadounidense, Gary Gensler.
El anuncio de la SEC se produce después de que Coinbase publicara un comunicado en el que asegura que Estados Unidos “necesita normas claras sobre las criptomonedas para proteger a los consumidores y el liderazgo de Estados Unidos”.
UNA REGULACIÓN MÁS FÉRREA
No es la primera vez que en Estados Unidos se persigue a Coinbase u otras plataformas de criptomonedas. En enero, Coinbase aceptó pagar al estado de Nueva York 100 millones de dólares (la mitad de ellos en concepto de multa) por incumplir regulaciones relacionadas con la protección del consumidor, la ciberseguridad y el blanqueo de dinero.
De hecho, la Fiscalía de dicho estado instó a las autoridades en mayo a endurecer la regulación para aumentar la transparencia, eliminar los conflictos de intereses y proteger a los inversores.
Para la fiscal general de Nueva York, Letitia James, la ausencia de regulaciones más duras para esta industria es la que ha hecho propensa a fluctuaciones drásticas del mercado, además de ser utilizada para ocultar y propiciar conductas delictivas y fraudes.
En febrero, la SEC acusó de fraude a la empresa Terraform Labs y a su director ejecutivo, Do Kwon, por la caída fulminante de sus criptodivisas TerraUSD y Luna en mayo de 2022.
La SEC alegó que Terraform, radicada en Singapur, y su principal ejecutivo y accionista, Kwon, un ciudadano surcoreano que fue detenido en marzo en Montenegro, orquestaron un fraude multimillonario que parcialmente tuvo lugar en EE.UU. desde 2018 hasta 2022, cuando se desplomó TerraUSD.
